These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Joseph Huang, an individual doing business as "HyperBasis" ("HyperBasis," "we," "us," or "our"). By accessing or using the HyperBasis website located at hyperbasis.pro, our terminal, dashboard, API, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Service.
HyperBasis is a market-data, analytics, and API infrastructure provider. HyperBasis provides cross-market pricing data, microstructure analytics, risk flags, and related informational content pertaining to cryptocurrency perpetual contracts and real-world asset ("RWA") derivatives. HyperBasis is NOT a broker, dealer, exchange, investment adviser, fiduciary, or financial advisor. HyperBasis does not execute trades, custody assets, hold customer funds, or provide investment advice.
You must provide accurate and complete information when creating an account. You are solely responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account, whether or not authorized by you. You agree to notify us immediately of any unauthorized use of your account.
Certain features require a paid subscription. Subscription fees are billed in advance and are non-refundable except as required by law or explicitly stated at the point of purchase. We reserve the right to change pricing at any time, with notice. Failure to pay may result in suspension or termination of access.
THE SERVICE AND ALL DATA, CONTENT, AND INFORMATION PROVIDED THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HYPERBASIS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TIMELINESS, COMPLETENESS, AND NON-INFRINGEMENT. HYPERBASIS DOES NOT WARRANT THAT THE DATA WILL BE ACCURATE, RELIABLE, ERROR-FREE, UNINTERRUPTED, OR FREE OF DELAYS, OMISSIONS, OR INACCURACIES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HYPERBASIS OR ITS OWNER BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, TRADING LOSSES, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF HYPERBASIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL HYPERBASIS'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HYPERBASIS IN THE ONE (1) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TEN U.S. DOLLARS (US$10) IF YOU HAVE NOT PAID ANY FEES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, HYPERBASIS'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless HyperBasis and its owner from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your violation of these Terms, or (c) your use of any data or information obtained from the Service, including any trading decisions you make.
All content, data structure, software, interfaces, text, graphics, and the HyperBasis name and logo are the exclusive property of HyperBasis and its owner, and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal informational purposes. You may not copy, modify, distribute, resell, or create derivative works without prior written consent.
The Service may rely on data from third-party sources. HyperBasis is not responsible for the accuracy, availability, or reliability of any third-party data, services, or content. Your use of third-party services is at your own risk.
You agree not to: (a) use the Service for any unlawful purpose; (b) reverse engineer, scrape, or attempt to extract the underlying data or code beyond your authorized access; (c) resell, sublicense, or redistribute the data; (d) use the Service to build a competing product or dataset; (e) interfere with or disrupt the Service or its infrastructure; (f) share or expose your API keys.
We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
We reserve the right to modify or discontinue the Service, or to revise these Terms, at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Singapore, in accordance with applicable arbitration rules. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with the Privacy Policy, Disclaimer & Risk Disclosure, Data License Agreement, API Terms, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and HyperBasis regarding the Service.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
